Terms of Use: Software Evaluation
IMPORTANT — READ CAREFULLY: By checking the box on the sign-in page and accessing this platform, you agree to the following terms for utilizing the Licensed Materials.
1. License Grant
The University of Michigan (“MICHIGAN”) hereby grants you a non-exclusive, royalty-free license to use the Licensed Materials solely to evaluate, modify and test the Licensed Materials. You shall not copy or distribute the Licensed Materials except as provided for herein. The “Licensed Materials” shall mean The University of Michigan's Scholara software, a Computer Program in source and object code format and related documentation developed under UM Invention Report #2026-672.
2. Feedback
In return for said license to use, you agree to provide MICHIGAN periodic reports of errors encountered and an evaluation as to the operation and usefulness of the Licensed Materials, during and upon termination of these Terms. All such feedback, reports, and evaluations provided to MICHIGAN shall be the property of MICHIGAN.
3. Duration
These Terms shall remain in effect for the duration of this internal evaluation pilot unless terminated by MICHIGAN upon written notice.
4. Confidentiality
You agree to treat the Licensed Materials as proprietary and confidential information of MICHIGAN, whether or not the Licensed Materials, or any portion thereof, are copyrighted. You agree to safeguard the Licensed Materials to the same extent and in the same manner that you safeguard your own proprietary and confidential information, but no less than in a reasonable manner.
5. Backup Copies
You may make one (1) copy of the Licensed Materials for backup purposes only.
6. Termination & Destruction
Upon termination of these Terms, you agree to promptly cease using and destroy all copies of the Licensed Materials and certify or confirm to the project team that all such copies have been destroyed.
7. “AS IS” Status & Export Control
YOU AGREE TO ACCEPT THE LICENSED MATERIALS ON AN “AS IS” BASIS WITH ALL FAULTS AND AGREE THAT MICHIGAN PROVIDES NO WARRANTIES WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO CASE MAY YOU TAKE ANY ACTION THAT WOULD CAUSE MICHIGAN TO BE IN VIOLATION OF ANY APPLICABLE EXPORT CONTROL, IMPORT, OR ECONOMIC SANCTIONS LAW OR REGULATION.
8. Governing Law & Compliance
These Terms shall be construed in accordance with the laws of the state of Michigan and the United States. The Licensed Materials may not be exported or re-exported unless done in full compliance with all United States export laws, rules and regulations. Should you for any reason bring a claim, demand, or other action arising out of these Terms or the Licensed Materials hereunder, you agree to bring said claim only in the Michigan Court of Claims.
9. Media Recording Consent
In connection with your evaluation of the Licensed Materials, you hereby grant MICHIGAN the right to capture, record, and use your voice, image, likeness, actions, and written or verbal statements (collectively, “Recordings”) in any media format (including video, audio, and photography) during interviews, feedback sessions, or pilot demonstrations. You agree that MICHIGAN shall own all rights, title, and interest in such Recordings, and may use, reproduce, modify, and distribute them for internal, educational, research, or promotional purposes, without any compensation, royalty, or further approval required from you.
10. Acceptance
By checking the box on the sign-in page, you acknowledge that you have read, understood, and agree to be bound by these Software Evaluation Terms of Use.
